Terms & Conditions + Cancellation & Refunds

These Terms & Conditions ("Terms") govern access to and use of the Odyssiant platform and website (the "Service"). The Service is provided by Odyssiant.ai Limited ("Odyssiant", "we", "us", "our").
By creating an account, purchasing a plan, purchasing credits, or using the Service, you agree to these Terms. If you are using Odyssiant on behalf of an organisation, you confirm you have authority to bind that organisation and "you" refers to the organisation.
If you do not agree, do not use the Service.
1) What Odyssiant does
Odyssiant helps teams understand and improve how brands and competitors show up in AI-generated answers and related discovery experiences. The Service may include prompt libraries, audit runs, answer capture and storage, scoring/visibility analysis, trend views, competitor comparisons, and suggested actions.
2) Accounts and access
You must be 18+ to use the Service.
You are responsible for:
- keeping login credentials secure;
- all activity under your account;
- ensuring the details you provide are accurate.
We may suspend or terminate accounts if we reasonably believe there has been fraud, misuse, or a breach of these Terms.
3) Plans, credits, PAYG and top-ups
3.1 Subscription plans
Odyssiant offers subscription plans (e.g., Free, Starter, Pro, Scale) and custom Enterprise plans. Plan features and limits are shown on the pricing page and/or in-product and may include (without limitation): included credits, number of users, number of products/profiles, reporting features, and retention.
3.2 Credits (what they are)
Some usage in Odyssiant consumes credits (running audits). Credits included in a subscription and credits bought as top-ups are tracked within your account.
Credits:
- are non-transferable and not resellable;
- have no cash value and are not redeemable for money.
3.3 Subscription credits (monthly)
If your subscription includes credits, those credits are provided on a monthly basis (or per billing period, as specified at checkout). Unless otherwise stated at checkout, unused subscription credits do not roll over into the next billing period.
3.4 PAYG access and top-ups (one-time purchases)
Odyssiant may offer:
- a PAYG access one-time purchase that includes an initial bundle of credits; and/or
- top-ups (one-time credit purchases).
All PAYG and top-up credits expire 90 days after purchase. Expired credits cannot be reinstated.
Unless otherwise stated at checkout:
- PAYG/top-up credits stack with any subscription credits you have; and
- PAYG/top-up credits are applied to your account immediately on successful payment.
3.5 Free plan
If you are on the Free plan, usage may be limited and features may be restricted. Free access may be changed or withdrawn at any time.
4) Data retention
4.1 Standard retention (non-Enterprise)
For Free, Starter, Pro, Scale and PAYG usage, Odyssiant retains run/answer data for 12 months (1 year) from capture, after which it may be deleted or no longer accessible.
4.2 Enterprise retention
Enterprise retention is configured by arrangement and will be set out in your Enterprise order form or agreement.
4.3 Deletion and housekeeping
We may delete data that is outside your plan's retention window, or data you request us to delete, subject to legal or security obligations.
5) Checkout, billing, renewals and taxes
5.1 Payment processing
Payments are processed via Chargebee-hosted checkout and our payment processor(s) (e.g., Stripe). Payment card details are handled by the payment provider(s) and are not stored by us except as required for billing administration.
5.2 Auto-renewal
Paid subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
5.3 Taxes
Prices may be shown excluding VAT unless stated otherwise. VAT (and any applicable taxes) will be calculated at checkout where required.
5.4 Pricing and packaging changes
We may update pricing, packaging, and plan features. Changes to paid subscriptions will apply from your next renewal after notice (typically by email and/or in-product), unless immediate change is required by law.
6) Acceptable use
You agree not to:
- use the Service unlawfully or in breach of regulation;
- attempt to gain unauthorised access to systems or data;
- disrupt, overload, scrape, or interfere with the Service;
- upload malware or harmful code;
- infringe intellectual property, confidentiality, or privacy rights.
You are responsible for ensuring your use of the Service aligns with your internal policies and any relevant sector obligations.
7) Inputs, outputs and accuracy
7.1 Your content
You may submit prompts, descriptions, and other content ("Customer Content"). You retain ownership of Customer Content. You grant us a licence to host, process and display Customer Content solely to provide, secure and improve the Service and to meet legal obligations.
7.2 Outputs and recommendations
The Service produces analysis and recommendations based on third-party sources and probabilistic systems. Outputs may be incomplete, out of date, or inaccurate. You are responsible for verifying Outputs before relying on them for decisions.
8) Intellectual property
We own all intellectual property rights in the Service, including the software, designs, and methods, excluding Customer Content.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or attempt to extract source code from the Service except to the extent permitted by law.
9) Cancellation
9.1 How to cancel
You can cancel your subscription in your billing settings (where available) or by contacting support@odyssiant.ai.
9.2 When cancellation takes effect
Unless stated otherwise at checkout:
- cancellation takes effect at the end of your current paid billing period;
- you will retain access to paid features until the end of that period;
- you will not be charged for the next period.
9.3 After cancellation
After cancellation, your access may revert to a Free plan (if available) or end entirely. Data will remain subject to your plan's retention window (Section 4).
10) Refunds and credits policy
This section forms part of these Terms.
10.1 General rule
To the maximum extent permitted by law, fees are non-refundable and we do not provide refunds or credits for partial subscription periods, unused subscription time, unused subscription credits, or unused PAYG/top-up credits.
10.2 Subscriptions
- If you cancel a subscription, you will not receive a refund for the current billing period (monthly or annual), unless required by law.
- If you believe you were charged incorrectly, contact support@odyssiant.ai within 14 days of the charge.
10.3 PAYG access and top-ups (one-time purchases)
PAYG access and top-ups are non-refundable, including where credits are unused or expire after 90 days, unless required by law or where a charge was made in error due to a billing fault on our side.
10.4 Billing errors and duplicate charges
If we confirm a billing error or duplicate charge, we will correct it (which may include a refund or account credit at our discretion).
10.5 Service outages
If the Service is materially unavailable for a sustained period due to our fault, your remedy (if any) will be limited to a proportionate service credit, at our discretion, reflecting the affected period.
10.6 Consumer rights
Odyssiant is intended for business use. If you are a consumer, you may have statutory rights under UK consumer law. Nothing in these Terms limits those rights where they apply.
11) Third-party services
The Service may depend on third-party platforms (e.g., payment providers and AI/search services). We do not control and are not responsible for third-party services, including their availability or changes.
12) Privacy and data protection
Our Privacy Policy explains how we process personal data. Where required for business customers, we may provide a Data Processing Addendum.
13) Disclaimer
The Service is provided "as is" and "as available". We do not warrant uninterrupted availability, or that Outputs will be accurate, complete, or suitable for any specific purpose.
14) Limitation of liability
Nothing in these Terms limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
Subject to the above, to the maximum extent permitted by law:
- we are not liable for indirect or consequential loss, loss of profit, revenue, business, goodwill, or data;
- our total liability in any 12-month period will not exceed the fees you paid to us for the Service in that 12-month period.
15) Suspension and termination
We may suspend or terminate access immediately if you breach these Terms, if your use poses a security/legal risk, or if required by law.
16) Governing law
These Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction, except where consumer law provides otherwise.
